This Terms of Use (the “Terms”) is a legal contract binding you and The Sales Pro and its corporate associates, affiliates, and divisions as may change periodically (collectively, “The Sales Pro,” “we,” “our’, and “us”). These terms are applicable on The Sales Pro’s websites, mobile applications (phone devices and tablets), and other digital and interactive services that direct to these Terms (together, the “Services”).
You acknowledge and endorse that, by using or accessing the Services or by posting or uploading any Content (as defined below) to the Services, or your heirs, or designates (collectively “you”) have indicated that you have thoroughly read, understood and agreed to be bound by these Terms. If you chose not to agree or approve these Terms, then you have no right use or access the Services.
SCOPE AND ELIGIBILITY

To use the Services, you must be, represent and warrant that you are of legal age and competence. If you use the Services on behalf of a third party, you are presenting to us that you are an appropriate and authorized representative of that third party and that you are using the Services with full knowledge and acceptance of that third party and that such third party accepts and agrees with these Terms. If you have been subsequently prohibited from accessing various Services by The Sales Pro, you are therefore not allowed to access or use the Services.
USE OUTSIDE THE UNITED STATES OF AMERICA
The services are offered, controlled and managed by The Sales Pro from the United States of America. The Sales Pro makes no presentations that the Services are suitable for use in other locations. Those who use or access the Services from other locations do so at their own risk and are individually responsible for complying with local law.
ACCOUNT REGISTRATION; ACCOUNT USE
Account Registration and Confidentiality
If you create an account to access and use any of the Services, while registering, you must choose a username and create a password. It is your sole responsibility to ensure that the password you chose remains confidential. By creating the account, you agree and consent that you will by no means allow others to use your account to access the Services and that you are fully aware and responsible for all activities that occur in relation to your username. We may thereby assume that any communications we gather under your account have been made by you.
Unauthorized Account Use
You agree to notify The Sales Pro immediately, as soon as you note any unauthorized use of your account or any breach of security as touching your username and password. We will not be held responsible for any loss, liability, damages, expenses or attorney’s fees that may be incurred as a result of a breach of security stated above, either with or without your consent and regardless of whether you have or have not notified us of such unapproved use. You will be responsible for losses, liability, damages, expenses and attorney’s fees incurred by The Sales Pro or any other third party due to someone else accessing your account.

Intellectual Property Rights
The Services are managed, owned and operated by The Sales Pro and contains material which is derived entirely or partly from materials provide by The Sales Pro and its associates, partners, others sources, and it is protected by the United States copyright laws, trademarks, international treaty provisions, service marks and other intellectual property laws that are applicable. In addition, the Services are also protected as a collaborative work or compilation under the United States copyright laws and any additional copyright restrictions or notices contained in Services. You consent to ensure the safety of the proprietary rights of The Sales Pro and all others having affiliations in the Services during and after the term of these Terms and to adhere to all reasonable written requests made by The Sales Pro or its licensors and suppliers of content or otherwise to secure their and others’ statutory, contractual, and common law rights in the Services.
USER CONTENT
User Content
The Services may allow you to upload, post, submit, or otherwise make available (all together, “post”) various contents such as reviews, video clips, public messages, photographs, comments, ideas and any other content (all together, “User Content”) that may be viewable or otherwise by other users. You acknowledge, consent and approve that all User Content, whether privately posted or publicly transmitted, is the entire responsibility of the person from whom the Content initially originated. You also agree that you possess all required rights to post such User Content without violation of any third-party rights.
